These Terms & Conditions apply to services provided by Madison Jayde Agencies (“we”, “us”, “our”).
We provide virtual assistant, business administration, business support and professional executive support services to businesses and individuals.
By accepting a quotation, proposal or agreement from us, you agree to these Terms & Conditions.
2. Our Services
We offer three monthly support packages:
Essential Support — £125 per month
Includes up to 5 hours of support per month.
Business Support — £250 per month
Includes up to 10 hours of support per month.
Professional Executive Support — £375 per month
Includes up to 15 hours of support per month.
Services may include:
Administrative support
Email management
Diary and calendar management
Appointment scheduling
Document preparation
Data entry
Online research
Customer and client administration
Business organisation
Digital administration
Website content administration
Social media administration
Executive support
General business support
The precise services provided will depend on the package selected and the requirements agreed with the client.
3. Additional Hours
Additional work outside the client’s monthly allowance may be available at:
£40 per hour
Additional hours must be agreed before the work is undertaken.
4. Payment
Monthly packages are charged at the agreed monthly rate.
Unless otherwise agreed in writing, payment is required in advance of the relevant monthly service period.
Invoices must be paid by the due date stated on the invoice.
We reserve the right to pause services where an invoice remains unpaid.
5. Monthly Hours
Package hours are allocated to the relevant monthly service period.
Unless specifically agreed otherwise in writing, unused hours do not automatically roll over into the following month and cannot be exchanged for cash or refunded.
6. Client Responsibilities
Clients agree to:
Provide accurate information and instructions;
Provide information and access reasonably required to perform the services;
Respond to requests for clarification within a reasonable period;
Ensure that information supplied to us can lawfully be shared;
Maintain their own passwords and security credentials unless an alternative secure arrangement has been agreed;
Notify us of any changes that may affect the services.
Delays caused by missing information, access or client instructions may affect delivery times.
7. Confidentiality
We will treat confidential business information provided to us as confidential and will take reasonable steps to prevent unauthorised disclosure.
We will not knowingly disclose confidential information except where:
authorised by the client;
required to provide the agreed service;
required by law; or
necessary to protect our legitimate legal interests.
8. Client Accounts and Access
Where our services require access to client systems, the client remains responsible for ensuring appropriate permissions are provided.
We will only access systems and information necessary to perform the agreed services.
Clients should not provide unnecessary passwords or access to systems unrelated to the services.
9. Turnaround Times
We will agree reasonable deadlines based on the nature and complexity of the work.
Urgent requests may be subject to availability and may incur additional charges where they fall outside the agreed package.
We cannot guarantee completion of work where a deadline is unreasonable or where information required from the client has not been provided.
10. Cancellation
Either party may cancel a monthly service arrangement by providing 30 days’ written notice, unless a different notice period has been agreed in writing.
Fees already paid for a service period are generally non-refundable where services have been reserved or work has already commenced.
11. Intellectual Property
Unless otherwise agreed, materials specifically created for the client and fully paid for will belong to the client.
We retain ownership of our own templates, systems, processes, know-how and pre-existing materials.
12. Limitation of Liability
We will provide services with reasonable care and skill.
We will not be responsible for losses arising from:
inaccurate or incomplete information supplied by the client;
delays caused by the client;
third-party platforms or service providers;
technical failures outside our reasonable control;
decisions made by the client based on information or administrative support provided by us.
Nothing in these Terms limits liability where it would be unlawful to do so.
13. No Guarantee of Business Results
Our services are intended to provide administrative, operational and executive support.
We do not guarantee specific business outcomes, sales, profits, leads, customers or financial results.
14. Changes to Services
We may reasonably adjust the way services are delivered where necessary to improve efficiency or respond to changes in technology or third-party platforms.
Material changes to the agreed service will be discussed with the client.
15. Governing Law
These Terms & Conditions are governed by the laws of England and Wales.
Any disputes will be subject to the jurisdiction of the courts of England and Wales, unless applicable law requires otherwise.

DATA PROCESSING AGREEMENT

This Data Processing Agreement (“DPA”) applies where Madison Jayde Agencies processes personal data on behalf of a client while providing agreed services.
1. Purpose
The purpose of this DPA is to establish the responsibilities of Madison Jayde Agencies and the client regarding personal data processed during the provision of services.
Where the client determines the purposes and means of processing personal data, the client will generally act as the Data Controller and Madison Jayde Agencies will generally act as the Data Processor.
